For all Educational Services (Online Courses, Guided Learning, etc.), you acknowledge that the techniques taught, including but not limited to the hand-positioning and ergonomic systems, are the Proprietary Trade Secrets of Hailee Kay Hair, LLC. Access to this content is a single-user license for individual professional use only. You are strictly prohibited from re-teaching, redistributing, or creating derivative educational products or classes based on these methods.

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. These Terms are effective unless and until terminated by either you or us. Termination of education access due to an IP breach does not entitle the user to a refund.

SECTION 15 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement and understanding between you and us.

SECTION 16 - GOVERNING LAW & DISPUTE RESOLUTION

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Colorado, United States. Any dispute arising from these Terms that cannot be resolved through informal negotiation shall be settled via binding arbitration in Denver County, Colorado. The prevailing party in any such dispute shall be entitled to recover their reasonable attorney’s fees and costs.

SECTION 17 - ADDITIONAL TERMS FOR DIGITAL EDUCATION

Due to the proprietary nature of our digital training and trade secrets, all sales of educational courses and digital downloads are final and non-refundable once access has been granted. We actively monitor for unauthorized commercial redistribution of our methods. Violation of these terms will result in immediate termination of access without refund and may result in legal action for breach of contract and intellectual property theft.
